Tell her she has to leave him if she wants to be with you, if she doesn't then you will still have your friend, if she does don't expect your friend to be cool with it.

Put yourself in your friends situation. How would you feel if you found out your friend stole your girlfriend? If you choose the girl, you lose a friend. If you choose the friend, you can have the girl, as a good friend, and still have your friend, talk this out with him, tell him that you're somewhat falling for his girl, and tell him you're sorry. Try convincing him or her to hook you up with one of their friends. Be a good friend. Do what you feel is right, that is all I can say. The outcome will be up to you.
